Sangria Terms of Service

These Terms of Service ("Terms") govern access to and use of the websites, dashboards, APIs, command-line tools, skills, payment services, agent-commerce services, and related services provided by Sangria ("Sangria," "we," "us," or "our") (collectively, the "Services").

1. Acceptance

By accessing or using the Services, creating an account, generating an API key, installing or using the Sangria CLI or skill, topping up credits, requesting a purchase, or otherwise using Sangria, you agree to these Terms.

If you use the Services on behalf of a company, organization, or other entity, you represent that you have authority to bind that entity. In that case, "you" includes both you and that entity.

If you do not agree to these Terms, do not use the Services.

2. The Services

Sangria provides payment and commerce infrastructure for agentic commerce. The Services may include:

  • Agent operator accounts, organizations, roles, dashboards, API keys, spend controls, and USD credit balances.
  • Supported product URL lookup, short-lived quotes, and purchase commitment flows for supported merchants/products.
  • Order automation, order-placement support, order reconciliation, and merchant/supplier coordination for supported purchases.
  • Top-ups through payment processors and saved-card authorization flows.
  • CLI, skill, docs, support, observability, admin, security, and operational tooling.

The Services are evolving. Features, supported merchants, supported products, supported regions, supported payment methods, limits, fees, and settlement methods may change.

3. Eligibility

The Services are intended for users who are at least 18 years old. You must be at least 18 years old and legally able to enter into these Terms to create an account, generate an API key, top up credits, request purchases, or use payment, purchase, API-key, or agent-commerce features. You may not use the Services if you are barred from doing so by applicable law, sanctions rules, export-control rules, payment-network rules, or these Terms.

The current physical-goods buying surface requires U.S. contact and shipping information. We may reject, limit, or cancel transactions outside supported regions or service areas.

4. Accounts, Organizations, and Authority

You must provide accurate and complete account, organization, billing, contact, shipping, and tax information. You must keep that information current.

Organization admins may invite members, remove members, approve or reject API keys, view organization activity, manage controls, and take other actions permitted by the Services. You are responsible for actions taken by users, agents, contractors, employees, admins, members, and integrations under your organization.

We may verify identity, authority, account ownership, payment method status, service area, or transaction details before enabling or completing a Service action.

5. API Keys, Agents, and Security

API keys and credentials are sensitive. You are responsible for:

  • Keeping API keys, tokens, passwords, devices, local CLI config, and agent environments secure.
  • Setting appropriate spend caps, confirmation thresholds, and account controls.
  • Revoking keys that are unused, compromised, or no longer authorized.
  • Monitoring agent activity and organization activity.
  • Ensuring your agents, integrations, prompts, tools, and workflows comply with these Terms and applicable law.

Sangria may treat actions authenticated with your account, session, API key, OAuth credential, CLI config, or authorized agent as authorized by you.

Notify us promptly if you suspect unauthorized access, a compromised API key, a compromised agent, or suspicious transaction activity.

6. Agent Instructions and Purchase Authority

Sangria is designed for use by AI agents and automated tools. You are responsible for the instructions, permissions, prompts, policies, tools, budget limits, and approval flows you give to an agent.

When your agent uses Sangria to submit a supported product URL or buy a product, you authorize Sangria to process the request according to the Service flow and the controls configured for your account. If a buy is submitted with a valid discovery_id and SKU from your authorized key or session, we may process it as your purchase instruction.

When a purchase request requires interaction with a merchant, supplier, order automation provider, merchant proxy, payment processor, wallet/facilitator provider, or other third-party service, you authorize Sangria and its service providers to submit information and take checkout, order, support, refund, reconciliation, and related actions on your behalf as needed to carry out your purchase instruction. This may include accepting or acting under merchant or supplier terms, policies, shipping restrictions, return rules, and checkout requirements that apply to the transaction.

You must not configure an agent to use Sangria for illegal, unsafe, fraudulent, deceptive, unauthorized, or prohibited purchases. You remain responsible for agent mistakes, agent prompt injection, tool misuse, and failures to set appropriate controls, except to the extent caused by Sangria's breach of these Terms.

7. Credits, Top-Ups, and Payment Methods

Agent purchases are funded from a pre-funded Sangria credit balance unless a different payment method is expressly supported and disclosed.

Top-ups may be processed by Stripe or another payment processor. You authorize us and our payment processors to charge the selected or saved payment method for top-ups, processing fees, and other amounts you approve or that are otherwise authorized through the Services. CLI saved-card top-ups may require an email authorization code before the card charge is made.

Credits are a limited-use balance that can be used only for supported Sangria transactions with supported merchants, suppliers, order automation providers, or services. Credits are not a bank account, deposit account, stored-value card, gift card, cryptocurrency, security, commodity, investment product, or general-purpose payment instrument. Credits are not intended for person-to-person transfers, remittances, cash withdrawal, general-purpose payment activity, deposit activity, or investment activity. Credits do not earn interest, are not insured by the FDIC or SIPC, are not transferable except as expressly allowed by Sangria, and are non-refundable and not redeemable for cash except where required by law, required by a merchant/supplier or payment-processor outcome, or approved by Sangria case by case.

Discovery is free unless we disclose otherwise. A failed purchase that does not complete merchant fulfillment or supported order automation should not debit your credit balance. A completed purchase debits credits according to the quote or price shown through the Services, applicable fees, and Service rules. If a card is charged but credits are not posted because of an operational issue, our records and payment processor records will be used for reconciliation.

We may refuse, reverse, refund, suspend, or place a hold on credits or transactions when required by law, requested by a payment processor, needed for security/fraud prevention, necessary for reconciliation, or permitted by these Terms.

8. Discovery, Quotes, and Purchases

A supported product URL lookup returns a short-lived quote for a supported product. A quote does not guarantee that a product will remain available, legal to ship, accurately described, or purchasable.

Quotes expire. Current product behavior uses an approximately 45-minute quote window. If a quote expires, you or your agent must submit the supported product URL again before buying.

When you commit a purchase, Sangria may validate account ownership, service area, email, phone, shipping address, available credits, product availability, SKU, merchant status, order automation status, and other transaction requirements. We may reject or fail a purchase if validation fails, if the merchant/supplier or order automation provider cannot complete it, if a product is unavailable, if the price or availability cannot be verified, if fraud/security checks fail, or if the transaction violates these Terms.

Product information, prices, images, ratings, reviews, delivery estimates, supplier availability, merchant content, and merchant responses may come from third parties. We do not guarantee that third-party information is complete, current, or error-free.

Unless expressly stated otherwise, Sangria is an intermediary, payment orchestration, and order orchestration service and is not the manufacturer, supplier, merchant, or seller of record for third-party goods or services. We may use supported order automation providers to place, manage, or reconcile orders. The applicable merchant or supplier is the seller of record for purchases made through Sangria unless a transaction-specific disclosure says otherwise. Return, refund, cancellation, warranty, shipping, tax, and support rights may depend on that merchant or supplier, the payment method, and applicable law.

9. Shipping, Delivery, Returns, and Refunds

You must provide accurate shipping, phone, email, and delivery information. We are not responsible for failed, delayed, misdelivered, or rejected orders caused by inaccurate or incomplete information you or your agent provide.

For physical goods, risk of loss, title, delivery obligations, returns, exchanges, warranties, recalls, and refunds are governed by the applicable merchant/supplier terms and applicable law, unless Sangria expressly states otherwise for a specific transaction.

If a purchase fails before completion, Sangria should not debit your credits for that purchase. If a purchase completes and later is cancelled, returned, refunded, reversed, or disputed, Sangria may credit, refund, offset, or adjust balances according to merchant/supplier outcomes, order automation outcomes, processor outcomes, our records, and applicable law.

10. Fees, Taxes, and Limits

Fees, top-up processing fees, platform fees, minimums, maximums, rate limits, spend caps, and other limits may apply. We will disclose fees where required and where they are shown in a top-up, quote, purchase, or checkout flow, and we may update them prospectively.

You are responsible for taxes, duties, import/export charges, sales/use taxes, income taxes, withholding, reporting, and similar obligations arising from your use of the Services, except for taxes based on Sangria's income.

We may impose or change transaction limits, rate limits, spend caps, service-area limits, supported merchant limits, and risk controls.

11. Prohibited Uses

You may not use the Services to:

  • Violate law, regulation, sanctions, export controls, payment-network rules, merchant rules, supplier rules, or third-party rights.
  • Buy, sell, facilitate, or finance illegal, restricted, unsafe, counterfeit, stolen, infringing, deceptive, or regulated goods or services without required approvals.
  • Purchase weapons, explosives, controlled substances, illegal drugs, prescription drugs without authorization, tobacco, alcohol, adult services, gambling products, financial products, surveillance tools, malware, or other high-risk products unless expressly approved by Sangria in writing and lawful.
  • Commit fraud, money laundering, terrorist financing, sanctions evasion, tax evasion, chargeback abuse, account takeover, credential theft, scraping abuse, or payment abuse.
  • Circumvent spend caps, confirmations, rate limits, authentication, authorization, service-area limits, merchant restrictions, product restrictions, or security controls.
  • Evade merchant purchase limits, shipping restrictions, fraud controls, bot controls, account rules, resale restrictions, or checkout requirements.
  • Interfere with or disrupt the Services, reverse engineer non-open-source portions of the Services, probe for vulnerabilities without authorization, overload infrastructure, or introduce malware.
  • Misrepresent identity, authority, product information, price, availability, merchant status, or payment status.
  • Use the Services to make legal, medical, financial, employment, housing, insurance, credit, or similarly significant decisions about people without all required legal compliance and Sangria's written approval.

We may investigate, block, suspend, terminate, reverse, report, or retain information about prohibited activity.

12. Third-Party Services

The Services integrate with or link to third-party services, including identity providers, payment processors, email providers, merchants, suppliers, order automation providers, merchant proxies, observability providers, infrastructure providers, blockchain networks, wallet/facilitator infrastructure, and open-source packages.

Third-party services are governed by their own terms and policies. Sangria is not responsible for third-party services we do not control. Your use of third-party services may require separate accounts, fees, consents, or legal obligations.

13. Privacy

Our Privacy Policy explains how we collect, use, disclose, and protect personal information. By using the Services, you acknowledge the Privacy Policy.

You also acknowledge that diagnostics, observability, and security tools may process logs, traces, error events, and session replay or interaction data where enabled, as described in the Privacy Policy.

14. Service Changes, Suspension, and Termination

We may modify, suspend, limit, or discontinue any part of the Services at any time, including supported merchants, supported products, features, APIs, SDKs, CLI behavior, skills, fees, limits, regions, or settlement methods.

We may suspend or terminate your account, API keys, organization access, credits access, or transactions if:

  • You violate these Terms or other Sangria policies.
  • We suspect fraud, abuse, security risk, unauthorized use, or illegal activity.
  • Required account, payment, tax, compliance, or verification information is missing or inaccurate.
  • A payment processor, merchant, supplier, regulator, law enforcement agency, court, or infrastructure provider requires or requests action.
  • Continued access creates risk to Sangria, users, merchants, third parties, or the Services.

You may stop using the Services at any time. Account closure does not cancel completed transactions, eliminate payment obligations, or require us to delete records we retain for legal, security, fraud-prevention, tax, accounting, reconciliation, dispute, or legitimate business purposes.

15. Software, CLI, Skills, and Intellectual Property

Sangria and its licensors own the Services, including software, APIs, CLI tools, skills, documentation, logos, designs, text, trade names, trademarks, and other content, except for user content, third-party content, and open-source components.

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to use the Services for their intended purpose. Open-source components or packages may be governed by separate open-source licenses, and those licenses control for the applicable component.

You may not copy, modify, distribute, sell, lease, sublicense, host, or reverse engineer the Services except as allowed by law, an applicable open-source license, or our written permission.

16. User Content and Feedback

You retain ownership of prompts, metadata, product requests, support messages, feedback, and other content you submit, subject to rights you grant us.

You grant Sangria a worldwide, non-exclusive, royalty-free license to host, use, process, reproduce, transmit, display, disclose, and create derivative works from your content as necessary to provide, secure, support, operate, improve, and enforce the Services.

If you provide feedback or suggestions, you grant Sangria a perpetual, irrevocable, worldwide, royalty-free license to use it without restriction or compensation.

You represent that you have all rights needed to provide your content and that your content does not violate law, these Terms, or third-party rights.

17. Confidentiality

Non-public API credentials, security information, pricing not publicly disclosed, beta features, private documentation, and other information identified as confidential or that should reasonably be understood as confidential must be protected and used only for authorized purposes.

This section does not restrict information that is public, independently developed without confidential information, lawfully received from another source, or required to be disclosed by law after reasonable notice where legally permitted.

18. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, SANGRIA DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AVAILABILITY, SECURITY, ACCURACY, AND ERROR-FREE OPERATION.

WE DO NOT WARRANT THAT:

  • THE SERVICES WILL BE UNINTERRUPTED, SECURE, AVAILABLE, OR ERROR-FREE.
  • PRODUCT INFORMATION, PRICES, DELIVERY ESTIMATES, RATINGS, REVIEWS, RANKINGS, OR MERCHANT RESPONSES WILL BE ACCURATE OR CURRENT.
  • A PRODUCT WILL BE AVAILABLE, LEGAL TO PURCHASE, LEGAL TO SHIP, OR SUITABLE FOR YOUR PURPOSE.
  • AN AGENT WILL INTERPRET YOUR INSTRUCTIONS CORRECTLY OR ACT SAFELY.
  • BLOCKCHAIN, WALLET, PAYMENT PROCESSOR, MERCHANT, SUPPLIER, OR THIRD-PARTY INFRASTRUCTURE WILL OPERATE CORRECTLY.

Some jurisdictions do not allow certain disclaimers, so some disclaimers may not apply to you.

19. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SANGRIA WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, ENHANCED, OR PUNITIVE DAMAGES; LOST PROFITS; LOST REVENUE; LOST BUSINESS; LOST DATA; LOST GOODWILL; SERVICE INTERRUPTION; SUBSTITUTE SERVICES; OR AGENT, MERCHANT, SUPPLIER, BLOCKCHAIN, WALLET, PAYMENT PROCESSOR, OR THIRD-PARTY FAILURES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SANGRIA'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID TO SANGRIA FOR THE SERVICES GIVING RISE TO THE CLAIM IN THE 3 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) USD $100.

These limits apply regardless of legal theory, even if a remedy fails of its essential purpose. Some jurisdictions do not allow certain liability limits, so some limits may not apply to you.

20. Indemnification

You will defend, indemnify, and hold harmless Sangria, its affiliates, and their directors, officers, employees, contractors, agents, licensors, and service providers from and against claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from or related to:

  • Your use of the Services.
  • Your agents, integrations, API keys, prompts, instructions, workflows, products, services, or content.
  • Your breach of these Terms.
  • Your violation of law, payment rules, sanctions/export controls, tax obligations, or third-party rights.
  • Purchases, fulfillment, refunds, chargebacks, disputes, or third-party obligations for which you are responsible.

We may control the defense of any matter subject to indemnification, and you will cooperate with us.

21. Dispute Resolution

IMPORTANT: THIS SECTION REQUIRES BINDING INDIVIDUAL ARBITRATION AND WAIVES CLASS ACTIONS.

These Terms are governed by the laws of California, excluding conflict-of-law rules.

Before filing a claim, you and Sangria will try to resolve the dispute informally. The party raising a dispute must send written notice to [email protected] or 1324 Sevier Ave, Menlo Park, California, describing the dispute and requested relief. If the dispute is not resolved within 30 days, either party may begin arbitration.

Except for small claims court matters and claims seeking injunctive relief for intellectual property, security, or unauthorized access, disputes arising from or relating to these Terms or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its applicable rules. Arbitration will take place in San Mateo County, California, by video conference, or as otherwise agreed. The arbitrator may award relief only to the individual party seeking relief and only to the extent necessary to resolve that party's claim.

You and Sangria waive the right to a jury trial and waive the right to participate in a class action, class arbitration, collective action, representative action, or consolidated proceeding.

You may opt out of arbitration within 30 days after first accepting these Terms by sending written notice to [email protected] or 1324 Sevier Ave, Menlo Park, California, with your name, account email, and a clear statement that you opt out of arbitration.

22. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date shows when they were last revised. If changes are material, we will provide notice as required by law. Continued use of the Services after changes become effective means you accept the updated Terms.

23. Miscellaneous

These Terms, together with any policies or addenda referenced in them, are the entire agreement between you and Sangria regarding the Services. If a provision is unenforceable, the remaining provisions remain in effect. You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, or by operation of law. Our failure to enforce a provision is not a waiver. Sections that by their nature should survive termination will survive, including payment, credits, intellectual property, confidentiality, disclaimers, limitation of liability, indemnification, dispute resolution, and miscellaneous provisions.
